Dear USPSA Members:
A special meeting of the USPSA Board of Directors was held on March 18, 2025, in response to a petition of verified Area 2 members to recall Area 2 Director Jon Birdt.
The board considered the following:
- A presentation to the board of the Area 2 members’ petition to recall Area 2 Director Jon Birdt;
- A motion for the termination of the membership of Jon Birdt as a Member of USPSA pursuant to USPSA Bylaws (the “Motion to Terminate”); and
- A motion for the removal of Jon Birdt as a Director of the Corporation pursuant to Delaware law (8 Del. C. § 141(k)) and pursuant to USPSA Bylaws (the “Motion to Remove”).
Mr. Birdt was invited to attend the board meeting and to respond. He was provided with a detailed agenda of the meeting. He notified the board that he would not attend, and he did not file any response.
After formal discussion of the petition and the Motions, votes were taken:
The Motion to Terminate passed by a vote of 6 – 1.
The Motion to Remove passed by a vote of 6 – 1.
The members of Area 2 will now have the opportunity to vote, in compliance with Delaware law, to remove Mr. Birdt.
The board weighed the following facts:
Fiduciary Duty Violations (7.7.i)
- Threatening USPSA employees’ jobs with legal action and organizational dissolution;
- Filing a litigation in the State of Washington to dissolve the USPSA;
- Discussing confidential employment matters in an open board meeting (January 2025) despite scheduled executive session time, directly violating Bylaw 10.2;
- Publicly and baselessly accusing the Managing Director of dishonesty during an open board meeting;
- Threatening and harassing Delaware counsel with baseless claims of violations of professional standards, leading to the resignation of Delaware counsel while Director-elect, followed by hostile and profane communications with former counsel;
- Forcing the organization to incur higher legal fees stemming from the difficulties associated with working with Mr. Birdt;
- Indirectly threatening USPSA’s Washington counsel and declaring his intention to “burn another attorney,” resulting in counsel’s resignation;
- Failing to utilize established bylaws and processes for addressing concerns about legal representation;
- Creating a legal representation crisis in both Delaware and Washington;
- Making baseless statements regarding the legality of board procedures vetted by counsel; and
- Seeking dissolution of the USPSA instead of taking his document demand to the Delaware Court of Chancery (8 Del. C. § 220).
Detrimental Actions to USPSA (7.7.ii)
- Using derogatory language toward members with differing opinions on social media;
- Responding to member inquiries and criticism with profane and hostile communications;
- Employing similar unprofessional language in internal communications and with legal counsel;
- Misrepresenting bylaw review status by falsely claiming committee and attorney approval; and
- Attempting to expedite bylaw adoption in January before legal review or member feedback integration.
While these board challenges have been significant, they do not define USPSA. Our organization continues to make substantial progress:
- Modernizing the classifier system;
- Implementing multi-year plans for national events;
- Collaborating with members nationwide to develop a comprehensive club manual;
- Enhancing rule clarity;
- Expanding member participation in governance (rules, classifier systems, bylaws, and disciplinary matters); and
- Increasing organizational responsiveness to member input.
Our Managing Director continues to provide exceptional leadership in daily operations despite having been under constant attack by Mr. Birdt. Sadly, Mr. Birdt did not share our vision of an organization that enjoys spending time competing in a sport that we love and that depends on volunteers to make this organization successful. We take no joy in doing what we had to do, but the future of the organization depended on the steps that the board took today.
